Refund, Cancellation & Chargeback Policy

Dynamactive Ventures LLP ("Dynamactive Ventures", "we", "us", or "our") is a professional advisory and consulting firm. Our engagements involve senior practitioner time, intellectual property, and bespoke deliverables that are reserved and produced exclusively for the Client. Consistent with standard practice across the advisory and consulting industry, all fees paid to Dynamactive Ventures are non-refundable. This policy applies to all paid services unless a signed Statement of Work ("SOW") or Master Services Agreement ("MSA") expressly provides otherwise, in which case the SOW or MSA prevails.

Summary

No refunds will be issued for any advisory, consulting, retainer, workshop, training, or implementation fee once payment has been received. Sessions may be rescheduled subject to the notice periods set out below. Engagements may be cancelled prospectively, but fees already paid are not refundable. Chargebacks raised in respect of services rendered will be contested.

Scope

This policy applies to all engagements with Dynamactive Ventures LLP, including strategy sessions, transformation audits, advisory retainers, AI and technology implementation programmes, training and workshops, diagnostics, and project-based consulting work, whether delivered online, in person, or in a hybrid format.

Nature of Advisory & Consulting Services

Consulting deliverables are advisory in nature. We commit to applying professional skill, judgement, and effort to the engagement, and to delivering the scope set out in the SOW. We do not guarantee specific business outcomes, market results, or financial returns; these depend on factors outside our control, including Client decisions, internal execution, market conditions, and third parties. Dissatisfaction with business outcomes, change of mind, internal reorganisation, or shifts in priorities do not constitute grounds for a refund.

No-Refund Policy

All fees paid to Dynamactive Ventures are non-refundable, including but not limited to:

  • Advisory and strategy session fees, once payment is received and a calendar slot is reserved.
  • Retainer fees for the current and any prior billing cycle.
  • Fixed-scope project fees, milestone payments, and mobilisation fees.
  • Workshop, training, and event fees, including in cases of non-attendance.
  • Subscription, membership, and digital-product fees once access is granted.
  • Third-party costs paid on the Client's behalf (software licences, travel, venue, subcontractor fees, research databases).
  • Discounted, bundled, or promotional fees, which are final.

By making payment to Dynamactive Ventures, the Client acknowledges and accepts this no-refund policy.

Rescheduling

We understand that schedules change. Advisory sessions, strategy calls, and workshops may be rescheduled once at no additional cost, provided the request is received in writing at least 48 hours before the scheduled start time. Reschedule requests received with less than 48 hours' notice, and no-shows, will be treated as delivered sessions and fees will be retained in full. Rescheduled sessions must be completed within 60 days of the original date.

Cancellation by Client

  • One-time advisory and strategy sessions — once paid, fees are non-refundable. The session may be rescheduled in line with section 04 above.
  • Transformation audits and fixed-scope projects — the Client may discontinue an engagement at any time by written notice. All fees already paid (including mobilisation and milestone fees) are non-refundable. Outstanding invoiced amounts and contractually committed third-party costs remain payable.
  • Advisory retainers and subscription engagements — may be cancelled prospectively with 30 days' written notice. Fees for the current billing cycle, and any prior cycles, are non-refundable. The retainer continues to be active during the notice period and the Client may use the committed hours within that period.
  • Custom proposals — may carry bespoke cancellation terms set out in the SOW, which prevail over this policy.

Cancellation by Dynamactive Ventures

We may suspend or terminate an engagement where the Client materially breaches its obligations, where continuation would create a conflict of interest, where it would be unlawful or unethical to continue, or where the Client fails to make timely payment. In such cases, we will issue a final invoice for work performed up to the termination date. Where we terminate an engagement at our own discretion and without Client breach (which is rare), we will, in good faith, issue a pro-rata credit for any clearly un-commenced, un-reserved portion of the work; such credit may, at our sole discretion, be applied to a future engagement or refunded. This is the sole and exclusive exception to the no-refund policy.

Duplicate or Erroneous Payments

If you have made a duplicate payment, or paid an amount that is demonstrably in excess of the invoiced sum, please write to us at info@dynamactiveventures.com within 7 days of the transaction. Where a duplicate or erroneous payment is verified, the excess will be returned to the original payment instrument within 7–10 business days of confirmation. This applies only to transaction errors and not to changes of mind regarding services purchased.

Deliverable Remediation

If a completed deliverable demonstrably fails to meet the written specifications in the SOW, the Client must notify us in writing within 15 days of delivery. Our sole obligation in such cases is to remediate the deliverable at no additional cost within a reasonable period. Remediation is the Client's exclusive remedy; no refund will be issued for delivered work.

Taxes

All fees are exclusive of applicable taxes. In the rare event a refund is approved under this policy (sections 06 or 07), the applicable tax component will be returned along with the principal amount and a credit note will be issued in accordance with applicable tax rules.

Chargebacks

Before initiating a chargeback with your bank, card issuer, or payment network, please contact us directly at info@dynamactiveventures.com so we can review and respond to your concern in good faith. Chargebacks raised in respect of services already rendered, sessions already delivered, deliverables already shared, calendar time already reserved, or fees properly invoiced under an SOW will be contested with documentary evidence including engagement records, delivery confirmations, calendar logs, written communications, and acceptance of this policy at the point of payment. The Client agrees to indemnify Dynamactive Ventures against any chargeback-related fees, recovery costs, and legal costs reasonably incurred in contesting an unwarranted chargeback. Repeated or fraudulent chargebacks may be reported to the relevant card networks and credit bureaus.

Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, government action, civil unrest, strikes, or major infrastructure outages. In such events we will work with the Client in good faith to reschedule. If rescheduling is genuinely not feasible, any unfulfilled portion may, at our discretion, be credited against a future engagement.

How to Raise a Billing Concern

Any billing concern must be raised in writing to info@dynamactiveventures.com within 30 days of the relevant transaction or invoice. Please include the engagement reference, invoice number, transaction reference, and a description of the concern. We acknowledge within 2 business days and respond substantively within 7 business days, after good-faith review with the engagement lead.

Governing Law & Dispute Resolution

This policy is governed by the laws of India. We aim to resolve all concerns directly and amicably. If a concern cannot be resolved through discussion, the dispute resolution provisions of our Terms & Conditions apply, and the courts of Mumbai, Maharashtra, India have exclusive jurisdiction.
